The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 28, 2024.

Number of shares:  five million charity flow-through shares

Purchase price:  12.5 cents per charity flow-through share

Warrants:  2.5 million common share purchase warrants to purchase 2.5 million common shares

Warrant exercise price:  15 cents per common share for a period of 24 months

Number of placees:  16 placees

Total pro group involvement:  800,000 charity flow-through shares (two pro groups)

Finder's fee:  nil

The company issued a news release on March 28, 2024, confirming the closing of the private placement.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
