The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 22, 2023.

Number of shares:  two million charity flow-through shares

Purchase price:  14.5 cents per charity flow-through share

Warrants:  two million common share purchase warrants to purchase two million common shares

Warrant exercise price:  20 cents per common share for a period of 24 months

Number of placees:  four placees

Total pro group involvement:  two million charity flow-through shares (four pro groups)

Finder's fee:  nil

The company issued a news release on Dec. 22, 2023, confirming the closing of the private placement.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
