Warrant exercise price:  22 cents per share until May 11, 2025, subject to an acceleration clause

Number of placees:  20 placees

Total insider participation:  100,000 (one insider)

Finders' fees:  Finders collectively received cash commissions totalling $9,680 and 60,500 common share purchase warrants to purchase 60,500 common shares at a price of 22 cents per common share until May 11, 2025.

The company has confirmed the closing of the private placement in a news release dated May 11, 2023.
