Warrants:  1,152,750 common share purchase warrants to purchase 1,152,750 shares

Warrant exercise price:  65 cents per share until Dec. 30, 2023

Number of placees:  24 placees

Insiders:  Rejean Gosselin, 62,500; Richard Thibault, 8,000

Total pro group involvement:  115,000 (two placees)

Finders' fees:  Three finders received a cash commission totalling $17,750 and 26,425 common share purchase warrants to purchase 26,425 common shares at a price of 40 cents per common share until Dec. 30, 2023.

The company has confirmed the closing of the private placement in a news release dated Dec. 30, 2021.
