The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 27, 2023.

Number of shares:  76,190,477 flow-through common shares

Purchase price:  5.25 cents per flow-through common share

Warrants:  76,190,477 common share purchase warrants to purchase 76,190,477 common shares

Warrant exercise price:  seven cents per common share for a period of two years

Number of placees:  24 placees

Total pro group involvement:  381,000 (one pro group)

Finder's fee:  $234,779.75 cash and 4,471,996 warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at a price of 5.25 cents for a period of two years from the date of issuance.

The company issued a news release on Dec. 13, 2023, confirming the closing of the private placement. Additionally, the company issued a news release announcing an increase of the private placement on Dec. 6, 2023. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
