POET TECHNOLOGIES ANNOUNCES CLOSING OF US$30 MILLION PRIVATE PLACEMENT
Further to Poet Technologies Inc.'s news release dated May 20, 2025, it has completed a non-brokered private placement with a single strategic investor pursuant to which the corporation issued six million common shares of the corporation and one common share purchase warrant of the corporation exercisable until May 22, 2030, to acquire up to six million common shares at an exercise price of $8.32 per warrant share, for aggregate gross proceeds of $30-million (U.S.). The combined price of one common share and the warrant (in respect of one common share) was equal to $5.00 (U.S.).
The corporation intends to use the net proceeds of the offering for working capital and general corporate purposes. No commission or finder's fee was paid by the corporation, and no underwriter or sales agent was engaged by the corporation in connection with the offering.
All securities issued under the offering were distributed to a purchaser located outside of Canada in reliance on OSC Rule 72-503 -- Distributions Outside of Canada and, accordingly, all securities issued or made issuable under the offering are not subject to a Canadian statutory hold period in accordance with applicable Canadian securities laws. The offering remains subject to the final acceptance of the TSX Venture Exchange.
