Purchase price:  $3.81 (Canadian) or $2.78 (U.S.) per share

Warrants:  563,317 share purchase warrants to purchase 563,317 shares

Warrant exercise price:  $4.95 (Canadian) or $3.61 (U.S.) for a period of three years following the closing date

Number of placees:  24 placees

Total existing insider involvement:  10,000 (one placee)

Finder's fee:  $57,897.35 (Canadian)

The company issued a news release on Dec. 2, 2022, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
