The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 9, 2024.

Number of shares:  4.36 million flow-through common shares

Purchase price:  50 cents per flow-through common share

Warrants:  2.18 million share purchase warrants to purchase 2.18 million common shares

Warrant exercise price:  50 cents per share for a three-year period

Number of placees:  30 placees

Total pro group involvement:  1.96 million (13 pro groups)

Finder's fee:  $12,000 cash and 48,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 50 cents for an 18-month period from the date of issuance.

The company issued news releases on Jan. 9, 2024, and Feb. 13, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
