The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 16, 2023.

Number of shares:  2.82 million non-flow-through common shares and four million flow-through common shares

Purchase price:  25 cents per non-flow-through common share and 50 cents per flow-through common share

Warrants:  3.41 million share purchase warrants to purchase 3.41 million common shares

Warrant exercise price:  50 cents per share for a three-year period

Number of placees:  44 placees

Total pro group involvement:  1,018,000 (13 pro groups)

The company issued news releases on Oct. 24, 2023, and Nov. 14, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
