The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 31, 2023.

Number of shares:  800,000 common shares

Purchase price:  25 cents per common share

Warrants:  800,000 share purchase warrants to purchase 800,000 common shares

Warrant exercise price:  25 cents for five years, subject to an accelerated expiry provision providing that the term of the warrants can be reduced to 30 days by the company in the event the company's shares trade at or above 50 cents per share for 10 consecutive trading days

Number of placees:  three placees

The company issued a news release on Aug. 15, 2023, confirming the closing of the private placement.
