The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 12, 2023.

Number of shares:  9.62 million flow-through common shares

Purchase price:  50 cents per flow-through share

Warrants:  4.81 million share purchase warrants to purchase 4.81 million shares

Warrant exercise price:  50 cents for a five-year period

Number of placees:  68 placees

Total existing insider involvement:  630,000 (one insider)

Total pro group involvement:  2.29 million (25 pro groups)

Finder's fee:  $266,600 cash and 573,200 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 50 cents for period of 18 months from the date of issuance.

The company issued news releases on March 31, 2023, April 25, 2023, and May 5, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
