The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 14, 2023.

Number of units:  five million units

Purchase price:  25 cents per unit

Warrant:  five million share purchase warrants to purchase five million shares

Warrant purchase price:  25 cents for one year from the date of issuance

Number of placees:  40 placees

Total existing insider involvement:  900,000 shares (two insiders); 495,000 shares (six insiders)

Finder's fee:  $28,075 cash and 224,600 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 25 cents for a period of 12 months from the date of issuance, subject to accelerated expiry.
