The TSX Venture Exchange has accepted for filing the company's proposal to issue 2,517,120 common shares at a deemed issue price of five cents per share to settle a total of $125,856 of outstanding notes and expenses payable.

The company will issue a news release when the shares have been issued and the debt has been settled.
