The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 14, 2023.

Number of shares:  7,793,616 non-flow-through shares and 13,816,422 flow-through shares

Purchase price:  nine cents per non-flow-through share and 10.5 cents per flow-through share

Warrants:  21,610,038 share purchase warrants to purchase 21,610,038 shares

Warrant exercise price:  20 cents for a period of two years

Number of placees:  40 placees

Total existing insider involvement:  726,380 (three insiders)

Total pro group involvement:  1,195,000 (five pro groups)

Finder's fee:  $39,331.20 cash and 385,309 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 20 cents for a period of two years from the date of issuance.

The company issued a news release on Nov. 22, 2023, confirming the closing of the private placement. Additionally, the company issued news releases announcing an increase of the private placement on Nov. 21, 2023, and Nov. 22, 2023. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
