The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 22, 2023, and Nov. 28, 2023.

Number of shares:  3.4 million flow-through shares

Purchase price:  15 cents per share

Number of shares:  3.57 million non-flow-through shares

Purchase price:  10 cents per share

Warrants:  3.57 million share purchase warrants to purchase 3.57 million shares

Warrant exercise price:  20 cents for a three-year period

Number of placees:  13 placees

Total existing insider involvement:  1.5 million (three insiders)

Total pro group involvement:  120,000 (one pro group)

Finder's fee:  $17,350 cash and 137,250 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 20 cents for period of three years from the date of issuance.

The company issued a news release on Nov. 28, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
