Number of shares:  20 million shares

Purchase price:  one cent per share

Number of shares:  14,999,999 flow-through shares

Purchase price:  1.5 cents per share

Number of placees:  32 placees

Total existing insider involvement:  1,333,333 (one insider)

Total pro group involvement:  13,416,666 (four pro groups)

Finder's fee:  $18,550 cash and 1,481,666 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of up to 10 cents for a period of three years from the date of issuance.

The company issued news releases on Jan. 3, 2024, and Jan. 17, 2024, confirming the closing of the private placement.
