The TSX Venture Exchange has accepted for filing the company's proposal to issue 4,179,670 shares at a deemed value of 19.25 cents to settle outstanding debt for $804,589.73.

Number of creditors:  16 creditors

Total non-arm's-length-party involvement:  $187,986.99, 976,547 shares at 19.25 cents (four parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
