The TSX Venture Exchange has accepted for filing the company's proposal to issue 3,231,493 shares to settle outstanding debt for $644,039.45.

Total non-arm's-length party involvement:  $131,107.94, 657,834 shares at 19.93 cents (three parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
