NURAN ANNOUNCES FINAL RESULTS OF ANNUAL GENERAL & SPECIAL MEETING OF SHAREHOLDERS

Nuran Wireless Inc. has released the result of its last item of business of its annual general and special meeting. The meeting was held on Oct. 29, 2025.

At the adjourned annual general and special meeting regarding the restructuring transaction, shareholders approved the transaction as defined in the circular, based on votes cast both during the meeting and by proxy.

Nuran is still undergoing a continuous disclosure review by the B.C. Securities Commission. In the meantime, the company's management and directors are collaborating closely with short-term debtholders, following guidance from the Canadian Securities Exchange, to ensure compliance for the approved transaction. Once the process is completed, Nuran will update its shareholders on the outcome.
