NORD PRECIOUS METALS CLOSES NON-BROKERED CRITICAL MINERAL FLOW-THROUGH SHARE PRIVATE PLACEMENT

Nord Precious Metals Mining Inc. has closed a non-brokered flow-through (FT) share private placement financing by issuing 8,888,888 shares at a price of 18 cents per FT share, raising gross proceeds of $1.6-million, subject to final TSX Venture Exchange acceptance.

The corporation agreed to pay finders' fees of 7 per cent ($112,000) in cash and 7 per cent (622,222) in non-transferable warrants in connection with the FT shares raised by the finders. Each finder's warrant is exercisable at 18 cents per share for a period of two years from closing. The finders' fees are also subject to exchange approval.

All securities issued in connection with the FT shares, finders' warrants and finders' warrant shares are subject to a four-month-and-one-day hold period expiring on Feb. 8, 2027, in accordance with applicable Canadian Securities laws.

The company will use the gross proceeds from the issuance of FT share private placement for exploration on its Castle East project, which will incur Canadian exploration expenses and qualify as flow-through critical mineral mining expenditures, as such terms are defined in the Income Tax Act (Canada).

The company's 63-square-kilometre Castle property, including 225 hectares of leases, hosts the past-producing Siscoe-O'Brien, Castle and Millerett silver mines, and the Castle East discovery. Nord continues to evaluate Castle East drilling results and the exploration-stage open-pit concept described in its Aug. 31, 2026, update. It is also pursuing metal recovery opportunities involving the Re-2Ox hydrometallurgical process.
