The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 6, 2023, and April 25, 2023.

Number of shares:  4,905,112 shares

Purchase price:  nine cents per share

Warrants:  4,905,112 share purchase warrants to purchase 4,905,112 shares

Warrant exercise price:  12 cents for a three-year period

Number of placees:  19 placees

Total existing insider involvement:  600,000 (three placees)

Total pro group involvement:  100,000 (one pro group)

Finder's fee:  $12,383 cash and 137,589 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for a period of three years from the date of issuance.

The company issued a news release on May 2, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
