NMG ANNOUNCES CLOSING OF US$20 MILLION PUBLIC OFFERING OF COMMON SHARES

Nouveau Monde Graphite Inc. has closed its previously announced public offering of 8,333,334 of its common shares at a price of $2.40 (U.S.) per common share for aggregate gross proceeds of approximately $20-million (U.S.).

Maxim Group LLC acted as sole placement agent for the offering.

The company intends to use the net proceeds from the offering for procurement of long-lead equipment, to initiate certain construction activities, to cover detailed engineering and indirect costs for the Matawinie mine project, to finance engineering activities to deliver an AACE Class 3 estimate for the 13,000-tonne-per-year Becancour battery material plant project, and to finance general working capital and corporate expenditures.

In connection with the offering, the company has filed a final prospectus supplement to the company's existing base shelf prospectus dated Dec. 5, 2025, filed in Canada and the company's U.S. registration statement on Form F-10 filed with the U.S. Securities and Exchange Commission under the U.S. Securities Act of 1933, as amended, pursuant to the Multi-Jurisdictional Disclosure System adopted by the United States and Canada. The offering was made solely in the United States and permitted foreign jurisdictions, and no common shares have been offered or sold in Canada.
