Nouveau Monde Graphite Inc. has completed a prospectus offering made pursuant to a prospectus supplement No. 3 dated April 12, 2023, to the company's base shelf prospectus dated May 19, 2021, as amended by amendment No. 1 dated Jan. 19, 2022, that was filed and accepted by the TSX Venture Exchange, and filed with and receipted by with the securities regulatory authorities in each of the provinces of Canada pursuant to the provisions of their respective securities acts.

Offering:  The offering consisted of 4.85 million common shares at a price of $4.55 (U.S.) per common share.

Offering price:  $4.55 (U.S.) per common share

Underwriters:  BMO Nesbitt Burns Inc. and Cormark Securities Inc.

Underwriters' commissions:  The underwriters received cash commissions equal to 6 per cent of the gross proceeds realized from the offering (including any gross proceeds raised on exercise of the overallotment option (as defined below)).

Overallotment option:  The underwriters were granted an overallotment option, exercisable for a period of 30 days following the closing date of the offering, to purchase an additional number of common shares equal to 15 per cent of the number of common shares sold pursuant to the offering.
