(CSE: NLV) (OTC: NLVVF) ("New Leaf," "NLV" or the "Company"), announces that it has entered into a debt settlement agreement with non- arms-length creditors (the "Creditors") to settle an aggregate of CAD$54,000.00 (the "Debt Settlement") of debt for services provided by the Creditors to the Company. In settlement and full satisfaction of the debt in the amount of CAD$54,000.00, the Company has agreed to issue to the Creditors an aggregate of 514,284 common shares in the capital of the Company (the "Common Shares") at a deemed issue price of $0.105 per Common Share. All Common Shares issued pursuant to the Debt Settlement are subject to a statutory hold period of four months plus a day from the date of issuance of the Common Shares in accordance with applicable securities legislation. The Debt Settlement may be considered a "related party transaction" as defined under Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions ("MI 61-101") as the Creditors are insiders of the Company. The Debt Settlement is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 under subsections 5.5(a) and 5.7(1)(a) of MI 61- 101, respectively, as neither the fair market value of the Common Shares issued to the insiders nor the fair market value of the consideration paid exceed 25% of the Company's market capitalization. The Company did not file a material change report more than 21 days prior to the closing of the Debt Settlement as the Company wishes to close the transaction expeditiously.
