Number of shares:  17.9 million shares

Purchase price:  40 cents per share

Warrants:  17.9 million share purchase warrants to purchase 17.9 million shares

Warrant exercise price:  55 cents for a three-year period

Number of placees:  30 placees

Total existing insider involvement:  100,000 (one insider)

The company issued news releases on June 12, 2023, and June 20, 2023, confirming the closing the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
