The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced April 6, 2023.

Number of shares:  three million flow-through common shares

Purchase price:  75 cents per flow-through share

Warrants:  1.5 million share purchase warrants to purchase 1.5 million common shares

Warrant exercise price:  75 cents per share for a period of two years

Number of placees:  26 placees

Total pro group involvement:  1,919,999 (13 pro groups)

Finder's fee:  $135,000 cash and 180,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 75 cents for period of two years from the date of issuance.

The company has issued a new release announcing the closing of the private placement and setting out the expiry dates of the hold periods. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
