The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 16, 2023.

Number of shares:  9,672,500 shares

Purchase price:  eight cents per share

Warrants:  9,672,500 share purchase warrants to purchase 9,672,500 shares

Warrant exercise price:  12 cents for a two-year period

Number of placees:  28 placees

Total existing insider involvement:  230,180 (three insiders)

Total pro group involvement:  100,000 (one pro group)

Finder's fee:  $8,568 cash and 107,100 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one unit at the price of eight cents. Each unit comprises one common share and one share purchase warrant. Each share purchase warrant is exercisable into one common share at 12 cents for a period of two years from the date of issuance.

The company issued a news release on Oct. 26, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
