NORTHISLE ANNOUNCES RESULTS OF ANNUAL GENERAL MEETING

All the proposed resolutions at NorthIsle Copper and Gold Inc.'s annual general meeting of shareholders were duly passed by an overwhelming majority of shareholders.

The results for each of the matters voted upon at the meeting are set out below.

Issuance of share-based compensation

NorthIsle also announces that the company's board of directors has approved the issuance of 70,500 stock options pursuant to the company's incentive stock option plan. The options provide for the purchase of an aggregate of 70,500 common shares of the company at an exercise price of $2.63 per share, which is the closing price for the common shares on the TSX Venture Exchange as of June 26, 2026. All of the options have a five-year term and vest one-third per year commencing on June 29, 2026.

In addition, the company's board of directors has approved the issuance of 87,500 deferred share units to eligible directors, pursuant to the share unit plan. The DSUs will vest on June 29, 2027.
