Toronto, Ontario - TheNewswire - May 6, 2020 - Ashraf Zaghloul announces that he has acquired 9,300,000 common shares of NTG Clarity Networks Inc. ("NTG") (TSXV:NCI) (OTC:NYWKF) by way of a shares for debt private placement at a price of $0.015 per share, for an aggregate purchase price of $139,500 (the "Private Placement").

Prior to completion of the Private Placement, Mr. Zaghloul held 8,748,729 common shares and 350,000 options of NTG, which represented 15.59% of common shares outstanding before giving effect to the options and 16.12% of the outstanding common shares assuming exercise of the options. After giving effect to the Private Placement, Mr. Zaghloul held 18,048,729 common shares and 350,000 options, which represents 18.03% of the common shares outstanding before giving effect to the options and 18.32% of the outstanding common shares assuming exercise of the options.

The common shares were acquired for investment purposes.
