PROMINO ANNOUNCES CLOSING OF FINAL TRANCHE OF PRIVATE PLACEMENT

Further to the press releases dated March 13, April 22, May 5, May 15 and May 20, 2026, Promino Nutritional Sciences Inc. has closed its final tranche of its private placement, issuing an aggregate of three million units at a price of three cents per unit for gross proceeds of $90,000. The units are composed of one share and one-half of one share purchase warrant, each whole warrant exercisable into one additional share at a price of six cents for one year from the date of issuance. In aggregate, the company issued 31,976,999 units for gross proceeds of $959,310 in its private placement.

The net proceeds from the final tranche are expected to be used to: (a) accelerate growth through investments in inventory; and (b) finance general corporate purposes, excluding accrued salaries to officers or directors of the company and payment for investor relations activities (as such term is defined in the policies of the Canadian Securities Exchange).

All securities issued upon closing of the final tranche are subject to a four-month hold period in accordance with applicable securities laws.
