PROMINO NUTRITIONAL SCIENCES PROVIDES CORPORATE UPDATE

Promino Nutritional Sciences Inc. has entered into consulting agreements with a capital markets advisory consultant and a marketing consultant to provide certain consulting services to the company for initial terms of 12 months and 18 months, respectively. In consideration for the services provided to the company by the consultants, the company has agreed to issue an aggregate of 200,000 common shares to the fiscal consultant, and issue an aggregate of one million common shares and pay $70,000 to the marketing consultant. All shares issuable to the consultants are to be issued in staggered tranches in accordance with the terms of their respective consulting agreements. The consultants are arm's length to the company.

The company has also agreed to settle an aggregate of $25,000 of outstanding indebtedness owing to an arm's-length creditor in exchange for the issuance of an aggregate of 166,667 common shares of the company to the creditor. Completion of the debt settlement is subject to acceptance by the Canadian Securities Exchange.

Any shares issued to the consultants or in connection with the debt settlement will be subject to a statutory hold period of four months and one day.
