The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on July 11, 2023.

Number of shares:  nine million units, 2,383,850 national flow-through (FT) units and 11,500,715 Quebec FT units

Purchase price:  six cents per unit, 6.5 cents per national FT unit and seven cents per Quebec FT unit

Warrants:  11,442,283 share purchase warrants to purchase 11,442,283 shares

Warrant exercise price:  10 cents for a two-year period

Number of placees:  10 placees

Total existing insider involvement:  seven million (one insider)

Total pro group involvement:  two million (one pro group)

Finder's fee:  $57,005 cash and 636,994 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 10 cents for period of 24 months from the date of issuance expiring on July 26, 2025.

The company issued a news release on July 27, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
