The Globe and Mail reports in its Thursday, Nov. 5, edition that MTY Food Group faces pressure to resume takeover talks with rival Foodtastic as both companies clash over the best approach for investors.
The Globe's Nicolas Van Praet writes that Foodtastic went public Tuesday with a $43-per-share cash offer for MTY after saying MTY's board refused to engage in substantive talks. The bid values MTY at about $1-billion.
On Wednesday, Foodtastic said it was progressing in its due diligence and could quickly finalize a deal if MTY reopened acquisition talks, noting that price was the main obstacle. Foodtastic said: "The company had unrealistic expectations about its value. We call on MTY's shareholders to voice their perspectives about our proposed transaction to the board and stand ready to engage with the company as soon as possible." MTY has struggled to boost the bottom line in recent months and ended a strategic review in October with a decision to go it alone.
Foodtastic chief executive officer Peter Mammas says MTY's strategy equates to a "highly uncertain and unsubstantiated bet" that MTY leaders can turn things around. MTY is better off in the hands of a private owner, he says.
