MTY FOOD GROUP INC. ANNOUNCES RESULTS FROM 2023 ANNUAL GENERAL MEETING

All matters set out in MTY Food Group Inc.'s management information circular dated March 20, 2023, for the 2023 annual general meeting of shareholders held on Tuesday, May 2, 2023, have been approved by shareholders. Over 17,409,166 shares were voted, representing 71.31 per cent of the outstanding shares of the company.

The seven nominees were re-elected as directors of MTY. The detailed results of the vote for the election of directors are set out in an attached table.

Pricewaterhouse Coopers LLP was reappointed as auditor of the corporation, and the directors were authorized to fix the remuneration of the auditor. Voting results are set out in an attached table.

The shareholders have approved the following resolution: on an advisory basis and not to diminish the role and responsibilities of the directors, the shareholders accept the board's approach to executive compensation disclosed in the information circular.
