The TSX Venture Exchange has accepted for filing the company's proposal to issue one million shares to settle outstanding debt for $40,000.

Number of creditors:  one creditor

Total pro group involvement:  $40,000, one million shares at four cents (one pro group)

The company shall issue a news release when the shares are issued and the debt extinguished.
