The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 21, 2023.

Number of shares:  3.2 million flow-through (FT) units

Purchase price:  10 cents per FT unit

Warrant:  3.2 million FT share purchase warrants to purchase 3.2 million FT shares

Warrant purchase price:  18 cents for three years from the date of issuance for the FT warrant

Number of placee:  two placees

Finder's fee:  $22,400 cash and 224,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 18 cents for a period of 36 months from the date of issuance.

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on Dec. 29, 2023, announcing the closing of the private placement.
