The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 5, 2023.

Number of units:  5,513,900 flow-through (FT) units and 800,000 non-flow-through (NFT) units

Purchase price:  18 cents per FT unit and 16 cents per NFT unit

Warrants:  3,556,950 share purchase warrants to purchase 3,556,950 shares

Warrant exercise price:  2,756,950 warrants at 25 cents for a two-year period; 800,000 warrants at 18 cents for a two-year period

Number of placees:  14 placees

Total existing insider involvement:  981,000 (three insiders)

Total existing pro group involvement:  358,900 (three pro groups)

Agent's fee/finder's fee:  $50,298.43 cash and 280,339 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one unit at the price of 16 cents per share for a period of two years from the date of issuance.
