Number of shares:  11,779,918 flow-through (FT) shares; 4,171,684 non-flow-through (NFT) shares

Purchase price:  13 cents per FT share; 12 cents per NFT share

Warrants:  11,779,918 FT share purchase warrants to purchase 11,779,918 NFT shares; 4,171,684 NFT share purchase warrants to purchase 4,171,684 NFT shares

Warrant purchase price:  18 cents for two years from the date of issuance for the FT warrants; 18 cents for three years from the date of issuance for the NFT warrants

Number of placee:  29 placees

Total pro group involvement:  841,570 (seven pro groups)

Finder's fee:  $133,034.40 cash and 1,045,804 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for a period of 36 months from the date of issuance.

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on June 12, 2023, announcing the closing of the private placement.
