Number of units:  3,263,609 flow-through (FT) shares; 100,000 non-flow-through (NFT) shares

Purchase price:  24 cents per FT share; 20 cents per NFT share

Number of placees:  nine placees

Total existing pro group involvement:  1,241,667 (two pro groups)

Finder's fee:  $10,080 cash and 42,000 warrants
