MAJOR DRILLING ANNOUNCES RESULTS OF ANNUAL MEETING OF SHAREHOLDERS

All director nominees listed in the management information circular dated July 16, 2026, were elected as directors of Major Drilling Group International Inc. in the course of the hybrid annual general meeting of shareholders of the corporation, held Sept. 3, 2026. Shareholder participation was high, with the total percentage of shares voted reaching over 79 per cent (representing 65,553,399 common shares of the corporation).

Each of the eight director nominees listed in the circular was elected by the holders of common shares of the corporation. The corporation received the following proxy votes from the holders of common shares with respect to the election of the nine director nominees.

The board's approach to executive compensation received 97-per-cent approval and the appointment of Deloitte LLP as the independent auditor of the corporation received 97-per-cent approval. The company is pleased to welcome Alvaro Ossio to the board of directors. Mr. Ossio brings more than 25 years of experience in the mining and financial sectors, including senior finance roles with Minera Las Bambas S.A., Minsur S.A., BHP Base Metals Chile and Compania Minera Antamina S.A. His international experience spans Peru, Chile and Brazil, with expertise in financial management, strategic planning, capital allocation and operational transformation.
