The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Nov. 16, 2023.

Number of shares:  666,666 common shares, 2,761,228 flow-through shares and 666,667 charity flow-through shares

Purchase price:  45 cents per common share, 65 cents per flow-through share and 90 cents per charity flow-through share

Number of placees:  60 placees

Total existing insider involvement:  269,000 flow-through shares (seven insiders)

Total pro group involvement:  476,846 flow-through shares (nine pro groups)

Finder's fee:  $77,809.12

The company issued a news release on Nov. 30, 2023, confirming the closing of the private placement.
