Purchase price:  18 cents per share

Warrants:  14,117,113 share purchase warrants to purchase 14,117,113 shares

Warrant exercise price:  25 cents for a two-year period

Number of placees:  48 placees

Total existing insider involvement:  1,659,999 (five insiders)

Total pro group involvement:  350,000 (two pro groups)

The company issued news releases on Aug. 1, 2023, and Aug. 22, 2023, confirming the closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
