ST. JAMES GOLD CORP. (TSX-V: LORD) ANNOUNCES LOAN FINANCING
St. James Gold Corp. has closed a loan
financing in the principal amount of $143,000 (U.S.).
The loan is evidenced by a promissory note issued by the company to the lender. The note
bears interest at a rate of 10 per cent per annum, compounded annually, with accrued interest payable at maturity.
The note matures on Dec. 31, 2027.
Any interest accruing during the period between the company's receipt of the loan proceeds and the
issuance of the note will be added to the principal amount of the note. Principal and accrued interest will
be payable at maturity in Canadian currency.
The proceeds of the koan will be used for general working capital and corporate purposes.
Further to St. James Gold's news releases dated Jan. 26, 2026, and May 5, 2026, effective June 30,
2026, all of the long-term debtholders of the company, including insiders Nicolas Lin ($175,000 at June 30
2026, and $145,000 at March 31, 2026) and Logan Anderson ($60,000 at June 30, 2026, and $45,000 at
March 31, 2026), have agreed to extend their indebtedness to June 30, 2027. The indebtedness was
previously extended to April 30, 2027. The parties continue to extend the debt so that it does not reflect on
the company's working capital position, which is currently approximately $165,065.
The company has started its 2026 exploration program on the Grub Line property. The program includes
complete relogging of extant drill core along with 3-D modelling of data to follow up on the 2025 work
program (see news release dated Dec. 9, 2025). There are approximately 300 metres of sampling that can be
analyzed based on earlier findings. The second component of this exercise will be to potentially infer
structural domains from the effort and to create a set of drill targets to increase the size of the known gold-mineralized sedimentary unit. The program is being performed by David Burga of Deptford Geoscience
Inc. It should also be noted that the scope of the program is limited by the amount and spacing of historical
drilling performed so this effort modelling will not produce a National Instrument 43-101-compliant
resource.

David Burga, PGeo, a consultant to the company, who is a qualified person as defined by NI 43-101.
