The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 16, 2023, and July 14, 2023.

Purchase price:  three cents per share

Warrants:  13,366,666 share purchase warrants to purchase 13,366,666 shares

Warrant exercise price:  five cents for a five-year period

Number of placee:  five placees

Total existing pro group involvement:  200,000 (one pro group)

Finder's fee:  $2,550 cash, 416,667 shares and 85,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of five cents for a period of five years from the date of issuance.
