KERMODE ANNOUNCES REVIEW OF STRATEGIC ALTERNATIVES

September 2, 2025 - Vancouver, British Columbia - Kermode Resources Ltd. (TSXV: KLM) (the "Company" or "Kermode") announces that its newly constituted board of directors (the "Board") has initiated a review of strategic alternatives to maximize shareholder value. Alternatives may include the divesture of some or all of the Company's mineral exploration assets, the extinguishment of debts through shares-for-debt settlements, the delisting of the Company's common shares from the TSX Venture Exchange ("TSXV") as well as other strategic options. The Board expects to retain an external financial advisor to assist in this process.

This review process may not result in any significant strategic change, but the intention is to complete the review by December 31, 2025. Kermode does not plan to provide updates on the status of the review until material developments emerge.
