KERMODE ADOPTS NEW SECURITY BASED COMPENSATION PLAN

Kermode Resources Ltd. has adopted a new security-based compensation plan (new plan), replacing the company's previous 2024 security-based compensation plan.

The new plan has been conditionally approved by the TSX Venture Exchange and remains subject to approval by the shareholders at the company's upcoming annual general and special meeting of shareholders scheduled for April 28, 2025.

The new plan is rolling up to 10 per cent and fixed up to 10 per cent plan, as defined in the TSX Venture Exchange's policies, which contemplates the grant of options and restricted share units to eligible participants.
