(TSXV: KLM) (the "Company" or "Kermode") grants three million Performance Share Units to the three independent directors of the company: Maxime Lepine, Peter Clausi, and Milo Mielniczuk. Each person shall receive one million units. The "Performance Share Unit" or "PSU" means a right granted to a Participant by the Corporation as compensation for employment or consulting services or services as a Director or Officer, to receive, for no additional cash consideration, securities of the Corporation upon specified vesting criteria being satisfied (which are typically performance based) and which may provide that, upon vesting, the award may be paid in cash and/or Shares; represented by a PSU Agreement evidencing the right of such Participant to receive the value of one Share at the time of payment, multiplied by any applicable Multiplier(s). The PSU shall have a multiplier up to ten times 10:1 and all aspects of payment at the discretion of the Board within the constraints of Kermode's stock option plan and TSXV policy.
