The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on June 28, 2023.

Convertible debenture:  $25-million (U.S.)

Conversion price:  convertible into 396,402,646 common shares at 9.05 Australian cents per share

Maturity date:  five years from issuance

Interest rate:  6.5 per cent per annum

Establishment fee:  4 per cent of the gross issue proceeds payable to the noteholder

Number of placees:  one placee

The company issued news releases on Aug. 2, 2023, and Aug. 31, 2023, confirming the closing of the private placement.
