Plan of arrangement

The TSX Venture Exchange has accepted for filing an arrangement agreement dated Dec. 17, 2025, between the company and an arm's-length third party pursuant to which the purchaser acquired all of the issued and outstanding common shares of the company by way of a court-approved statutory plan of arrangement under the provisions of the Canada Business Corporations Act.

The company's shareholders approved the arrangement at a special meeting held on Feb. 19, 2026. The Superior Court of Quebec approved the arrangement on Feb. 20, 2026. The arrangement closed on Feb. 27, 2026, with shareholders of the company entitled to receive $2.35 per share in cash upon filing of a duly completed and executed letter of transmittal, along with the accompanying certificate or DRS advice representing the common shares, if applicable, and such additional documents and instruments as the depositary may reasonably require.

Delist

In connection with the completion of the arrangement and effective at the close of business on Tuesday, March 3, 2026, the common shares of the company will be delisted from the TSX Venture Exchange at the request of the company.
