HYDROGRAPH TO HOLD SPECIAL MEETING OF SHAREHOLDERS IN CONNECTION WITH PROPOSED REDOMICILING TRANSACTION

Hydrograph Clean Power Inc. intends to hold a special meeting of shareholders to consider and vote on its plan to redomicile to the United States, subject to receipt of the required shareholder, regulatory, court and other required approvals.

Hydrograph believes that redomiciling into a U.S. jurisdiction will better align its corporate structure with its growing U.S. operations, expanding U.S. shareholder base, developing addressable market opportunities and long-term strategic objectives, while positioning the company for future growth.

"Calling this special meeting marks an important next step in Hydrograph's evolution as we continue to build our business around a growing U.S. operational footprint and seek to expand commercial opportunities," said Kjirstin Breure, president and chief executive officer of Hydrograph. "We look forward to providing shareholders with additional information regarding the proposed transaction in the coming weeks."

The special meeting will be held on Oct. 29, 2026. Shareholders of record as of Sept. 11, 2026, will be entitled to vote at the special meeting.

Further details regarding the potential redomiciling transaction, including but not limited to the background to and rationale for the transaction, anticipated benefits, required approvals, risk factors and voting procedures, will be contained in the management information circular and related meeting materials, which are expected to be filed on SEDAR+ and delivered to shareholders following the record date.
